Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of AgenticAnanse, including the website at agenticananse.com, the downloadable desktop application, and all related services (collectively, the "Service"), operated by Agoo AI LLC, a California limited liability company ("Agoo AI," "we," "us," or "our").

By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

2. Description of Service

AgenticAnanse is an AI-native mechatronics lifecycle platform that helps engineers design, build, and operate hardware projects. It consists of:

• OpenAnanse — a free, open-source desktop application licensed under the Apache 2.0 License, available at github.com/narteyb/open-ananse
• AgenticAnanse Pro — a commercial desktop application with additional features, available by subscription through this website

3. Accounts

To access certain features, you must create an account using a valid email address via magic link, Google, or GitHub authentication. You are responsible for maintaining the security of your account and for all activity that occurs under it. You must notify us immediately of any unauthorized use at dan@agooai.com.

You must provide accurate information and keep it current. Accounts are for individual use only unless you have an Enterprise license.

4. Subscriptions and Billing

Subscription terms

AgenticAnanse Pro is available on an annual subscription basis, billed via Stripe, Inc. Subscriptions automatically renew at the end of each billing period unless canceled before the renewal date.

Pricing and loyalty discounts

Subscription pricing is displayed on our pricing page. Subscribers who maintain an uninterrupted subscription receive loyalty discounts: 20% off at year two, 40% off at year three and beyond. Any lapse in subscription resets the loyalty counter.

Purchasing power parity pricing

We offer reduced pricing for users in qualifying markets, including African markets, as displayed at checkout. PPP pricing is based on self-declaration and is subject to our Terms. Abuse of PPP pricing tiers is grounds for account termination.

Refunds

We offer a 14-day refund for new annual subscriptions if requested within 14 days of initial purchase and the desktop application has not been activated on more than one machine. To request a refund, contact dan@agooai.com.

Failed payments and grace period

If a subscription payment fails, we will retry the payment and notify you by email. You will have a 14-day grace period during which the desktop application continues to function. If payment is not resolved within 14 days, commercial features will be suspended until payment is made.

5. Perpetual License

After 12 consecutive months of paid subscription, you earn a perpetual license for the version of AgenticAnanse Pro that was current at the end of your most recent paid month. If your subscription lapses after earning a perpetual license, you retain the right to use that specific version indefinitely. The perpetual license does not include future updates, which require an active subscription.

6. Machine Limits

Individual subscriptions permit activation on up to 2 machines simultaneously. Organization subscriptions permit 1 active machine per purchased seat. Attempting to circumvent machine limits is a material breach of these Terms.

7. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of applicable law
• Attempt to reverse engineer, decompile, or disassemble the proprietary components of AgenticAnanse Pro
• Share, resell, or sublicense your subscription to third parties
• Circumvent license enforcement mechanisms, including machine activation limits
• Use the Service to develop a competing product using our proprietary features
• Transmit malware, spam, or other harmful content through the Service
• Attempt to gain unauthorized access to any part of the Service or its related systems

8. Intellectual Property

The AgenticAnanse name, Dwennimmen mark, and all associated branding are the property of Agoo AI LLC. OpenAnanse is open-source software licensed under the Apache 2.0 License — you may use, modify, and distribute it in accordance with that license. AgenticAnanse Pro is proprietary software — no license is granted except the personal, non-transferable right to use it pursuant to an active subscription or perpetual license.

Your project data — designs, schematics, firmware scaffolds, and other content you create using the Service — belongs to you. We do not claim any ownership over your content.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, or free of viruses or other harmful components. We do not warrant the accuracy or completeness of any AI-generated output, including schematics, firmware, component lists, or diagnostic advice. AI-generated content should be reviewed by a qualified engineer before use in any safety-critical application.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY CALIFORNIA LAW, AGOO AI LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE.

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify and hold harmless Agoo AI LLC and its affiliates from any claims, damages, losses, and expenses (including reasonable legal fees) arising from your violation of these Terms or your use of the Service.

12. Termination

We may suspend or terminate your account at our discretion if you violate these Terms, with or without notice. Upon termination, your right to use the Service ceases immediately, subject to any perpetual license rights you may have earned.

You may cancel your subscription at any time through the account portal. Cancellation takes effect at the end of the current billing period.

13. Governing Law and Disputes

These Terms are governed by the laws of the State of California, without regard to its conflict of law provisions. Any dispute arising from these Terms or your use of the Service shall be resolved by binding arbitration in California, except that either party may seek injunctive relief in any court of competent jurisdiction for violations of intellectual property rights.

You waive any right to participate in a class action lawsuit or class-wide arbitration related to the Service.

14. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by email at least 14 days before they take effect. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
